TERMS OF USE

SIMEDHealth, LLC

Effective November 1, 2026

Welcome. These Terms of Use (“Terms”) govern your access to and use of the SIMEDHealth, LLC website (the “Site”) and any other online service operated by SIMEDHealth on which these Terms are posted or linked with a notice stating that they apply (collectively, the “Services”). The Site may provide access or links to separately operated services, including our patient portal, payment-processing services, and telehealth platforms. Those services may be governed by additional terms and privacy notices presented by their respective operators.

These Terms do not govern the provision of medical care, alter the terms of any patient consent or financial agreement, or replace SIMEDHealth’s Notice of Privacy Practices.

Acceptance of These Terms

By accessing or using the Site after being provided notice of these Terms, you agree to comply with them. If you do not agree, you should not use the Site. Additional affirmative consent may be required before you use certain features or services.

Use of Services; No Medical Advice

General educational information available on the public portions of the Site is provided for informational purposes only. It is not medical advice, does not constitute a diagnosis or treatment recommendation, and should not be relied upon as a substitute for consultation with a qualified healthcare provider. Communications provided to an established patient by a SIMEDHealth provider through an authorized patient portal, telehealth visit, or other clinical communication may constitute medical advice and are not subject to this general-information disclaimer.

OUR SERVICES ARE NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE FROM A QUALIFIED HEALTHCARE PROVIDER. DO NOT USE INFORMATION PROVIDED THROUGH OUR SERVICES TO DIAGNOSE OR TREAT A HEALTH CONDITION WITHOUT CONSULTING A QUALIFIED HEALTHCARE PROVIDER. ACCESSING OR BROWSING THE PUBLIC SITE DOES NOT, BY ITSELF, CREATE A PHYSICIAN-PATIENT RELATIONSHIP. NEVER DISREGARD PROFESSIONAL MEDICAL ADVICE OR DELAY SEEKING IT BECAUSE OF SOMETHING YOU HAVE READ THROUGH THE SERVICES. DO NOT USE OUR SERVICES FOR MEDICAL EMERGENCIES. IN AN EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM.

Changes to These Terms

We may update these Terms from time to time. The revised Terms will be posted on the Site with an updated effective date. Material changes will apply prospectively, and we will provide additional notice when reasonably appropriate. Your continued use of the Site after the revised Terms become effective constitutes acceptance of the revised Terms. Changes to these Terms do not alter rights or obligations that arose before the revised Terms became effective unless applicable law permits and the parties expressly agree otherwise.

Children’s Use of the Site

The public Site is intended for a general audience and is not directed to children under 13. A child under 13 should not submit personal information directly through the public Site. A parent or legal guardian may submit information on the child’s behalf through an appropriate form or service. This provision does not restrict a minor’s receipt of medical care or authorized access to patient-portal services by a minor, parent, guardian, or legally authorized representative. Portal access is governed by applicable law, SIMEDHealth policies, and any additional portal terms.

Ownership of Services

The Site and all associated content are the property of SIMEDHealth and/or its licensors, and are protected by United States copyright, trademark, and other intellectual property laws. The Site may be viewed and accessed for your personal, non-commercial use only, provided all copyright and proprietary notices are retained. Content may not be modified, reproduced, republished, distributed, or used for any public or commercial purpose without our prior written consent.

Trademarks

All SIMEDHealth names, logos, and marks (“Trademarks”) appearing on the Site belong to SIMEDHealth unless otherwise noted. You may not use or display our Trademarks — including in advertising, metatags, or search-engine keywords — without our prior written consent. Trademarks belonging to third parties appearing on linked websites remain the property of their respective owners.

User Conduct

By using the Services, you agree that you will not:

  • modify, hack, or attempt to alter the Services;
  • attempt to access accounts, systems, or networks connected to the Services without authorization;
  • introduce any device, software, or routine intended to damage or interfere with the Services;
  • use any bot, scraper, or automated process to harvest information from the Services, other than a standard search-engine crawler;
  • infringe any copyright, trademark, trade secret, or other proprietary right through use of the Services;
  • impersonate any person or entity or misrepresent your affiliation with SIMEDHealth;
  • harass, threaten, defame, or violate the legal rights of any third party; or
  • use the Services to advertise or solicit business unrelated to SIMEDHealth.

You may not use the Services to post or transmit unlawful, threatening, defamatory, obscene, or otherwise illegal material. We may remove any submission that violates these Terms. Good-faith security research conducted in accordance with our Responsible Disclosure Statement is not a violation of this section.

Third-Party Websites and Services

The Site may contain links to websites or services operated by third parties, including patient-portal, payment-processing, and telehealth vendors. Third-party services may be governed by their own terms and privacy notices. When a third party processes protected health information on behalf of SIMEDHealth, SIMEDHealth’s Notice of Privacy Practices and applicable federal and state health-information laws may also apply.

SIMEDHealth does not control and is not responsible for unrelated third-party websites merely because the Site contains a link to them. A link does not constitute endorsement of the third party or all information, products, or services it provides.

Text Message Terms

If you provide your mobile number to us and agree to receive text messages (the “Program”), you consent to receive messages from or on behalf of SIMEDHealth, which may include appointment reminders, billing reminders, or service-related notices. You do not need to consent to the Program in order to receive care.

  • Not Secure. Text messages are not encrypted and carry inherent privacy risk.
  • Opt Out. You may revoke consent to automated text messages at any time by replying STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE, or by contacting us through the telephone number or other contact method identified in the message or on the Site. We will also honor other reasonable communications that clearly request that messages stop. We may send one confirmation message acknowledging the request. Revocation will be processed within the period required by applicable law.
  • Usage. Message frequency varies. You represent that you are the account holder for any mobile number you provide, and you agree to notify us if that number changes. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
  • Data Use. We may use your phone number, carrier, and message details to administer the Program. See our Website Privacy Policy for more information. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging opt-in data and consent will not be shared with any third parties, except service providers that operate the Program on our behalf.
  • Help. Reply HELP for assistance or contact us at (352) 224-4090.

Our Providers

Providers listed on the Site are employed by or affiliated with SIMEDHealth. Provider listings, professional information, locations, and availability may change and are provided for informational convenience only. A provider’s inclusion on the Site does not constitute a referral, recommendation, or guarantee that the provider is accepting new patients or available to provide a particular service.

Disclaimer

These disclaimers apply only to the Site and general online functionality. They do not apply to medical care provided by SIMEDHealth healthcare professionals, obligations described in our Notice of Privacy Practices, or any warranty, duty, or remedy that cannot lawfully be disclaimed.

YOU ASSUME THE RISK OF ACCESSING AND USING THE SERVICES. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY, OR ACCURACY, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT INFORMATION PROVIDED THROUGH THE SERVICES IS CURRENT, COMPLETE, OR ACCURATE. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIMEDHEALTH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING SOLELY FROM ACCESS TO OR USE OF THE SITE OR FROM AN INABILITY TO ACCESS THE SITE.

THIS LIMITATION DOES NOT APPLY TO MEDICAL CARE; PROFESSIONAL NEGLIGENCE; SIMEDHEALTH’S HANDLING OF PROTECTED HEALTH INFORMATION; FRAUD; GROSS NEGLIGENCE; WILLFUL MISCONDUCT; OR ANY LIABILITY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE LIMITED OR WAIVED.

TO THE EXTENT PERMITTED BY LAW, SIMEDHEALTH’S TOTAL LIABILITY ARISING SOLELY FROM THE OPERATION OF THE PUBLIC SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the foregoing may not apply to you.

Feedback

If you voluntarily submit feedback, suggestions, or ideas concerning the Site or Services, you grant SIMEDHealth a worldwide, perpetual, irrevocable, royalty-free, nonexclusive license to use, reproduce, modify, adapt, publish, and otherwise use that feedback for any lawful purpose without compensation or attribution to you. Do not submit feedback containing protected health information through a general website feedback feature.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless SIMEDHealth and its affiliates, officers, employees, and agents from third-party claims, losses, and reasonable expenses arising directly from your unlawful use of the Site, your intentional misuse of the Site, your infringement of another person’s intellectual-property rights, or your material violation of these Terms. This section does not require you to indemnify any party for that party’s own negligence, misconduct, violation of law, or provision of medical care.

Copyright Violations

If you believe your copyrighted work is accessible through the Services in a way that constitutes infringement, notify our designated agent under the Digital Millennium Copyright Act, 17 U.S.C. § 512, at:

DMCA Designated Agent / Vice President of Support Services

SIMEDHealth, LLC

Gainesville, FL 32607

Phone: (352) 224-4090

Email: compliance@simedhealth.com

SIMEDHealth has designated this agent with the U.S. Copyright Office’s DMCA Designated Agent Directory.

Your notice must include: (1) a physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf; (2) identification of the copyrighted work claimed to have been infringed or, if multiple works are covered by one notice, a representative list of those works; (3) identification of the allegedly infringing material and information reasonably sufficient to permit SIMEDHealth to locate it; (4) information reasonably sufficient to permit SIMEDHealth to contact the complaining party, such as an address, telephone number, and email address; (5) a statement that the complaining party has a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (6) a statement that the information in the notice is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner. Misrepresenting that material is infringing may result in liability under 17 U.S.C. § 512(f).

Repeat Infringers. SIMEDHealth will, in appropriate circumstances, terminate the access of users who are repeat infringers.

Third-Party Payments

Online payments may be transmitted through a third-party payment processor and may also be subject to that processor’s terms and privacy notice. SIMEDHealth is not responsible for a processor’s independent acts, service interruptions, or fees that the processor clearly discloses and imposes. This provision does not limit SIMEDHealth’s responsibility for the accuracy of its own charges, billing records, payment posting, or refunds, or any rights or remedies that cannot lawfully be waived.

Termination and Modification of Services

We may modify, suspend, or terminate all or part of the Services, or your access to them, at any time, with or without notice, for any reason. The following sections survive termination: Ownership of Services, Trademarks, Disclaimer, Limitation of Liability, Feedback, Indemnity, Privacy, General, and Entire Agreement Regarding the Site.

Privacy

Our Website Privacy Policy describes the collection and handling of information through the public Site. Our Notice of Privacy Practices describes how SIMEDHealth may use and disclose protected health information and explains patients’ rights concerning that information. The Notice of Privacy Practices is a notice of SIMEDHealth’s legal duties and privacy practices; it is not incorporated into these Terms as a contractual waiver or limitation of patient rights. If these Terms conflict with applicable law or the Notice of Privacy Practices concerning protected health information, applicable law and the Notice of Privacy Practices control.

General

If any provision of these Terms is held invalid, the remaining provisions remain in full force and effect. These Terms are governed by the laws of the State of Florida, without regard to its choice-of-law rules. Subject to any applicable law that requires a different forum, any legal proceeding arising solely from these Terms or use of the Site must be brought in a state court of competent jurisdiction located in Alachua County, Florida, or in the United States District Court for the Northern District of Florida. Each party consents to personal jurisdiction and venue in those courts. We may assign these Terms without notice to you; you may not assign these Terms without our prior written consent.

Section Titles

Section titles are for convenience only and do not affect the meaning of these Terms.

Entire Agreement Regarding the Site

These Terms constitute the entire agreement between you and SIMEDHealth concerning your use of the public Site only. They do not replace or modify any patient consent, financial agreement, Notice of Privacy Practices, authorization, telehealth consent, patient-portal agreement, or other agreement governing medical care or a separately operated service.
